CHARLOTTE, N.C., Aug. 17 /PRNewswire-FirstCall/ -- Name Dynamics, Inc. (the "Company") today announced the completion of an all-stock merger with BounceBackTechnologies.com, Inc. (PINK SHEETS:BBTC.pk - News), the sole parent of the Company, pursuant to which BBTC merged with and into the Company with the Company continuing as the surviving corporation. In addition, pursuant to the agreement and plan of merger, the Certificate of Incorporation of the Company was amended and restated to increase the authorized number of shares to 50,000,000 shares of common stock, par value $0.01 per share, and 10,000,000 shares of preferred stock, par value $0.01 per share.
Previously on August 16, 2010, the shareholders of BBTC approved the agreement and plan of merger, dated July 8, between BBTC and the Company at an annual meeting of shareholders. In accordance with the terms of the merger agreement, the shareholders of BBTC received 1 share of the Company's common stock for each outstanding share of BBTC common stock. Approximately 21 million of BBTC's total outstanding shares, or approximately 71 percent, voted for the merger. No shares were voted against the approval of the merger.
